Dubai Holding’s ‘Innovate for Tomorrow’ Impact Accelerator Programme
Dubai Holding’s ‘Innovate for Tomorrow’ Impact Accelerator Programme, run in collaboration with TECOM Group PJSC's business incubator, “in5”, and delivered in partnership with Dubai Holding’s execution partner, BOLT Events Management L.L.C, is a flagship scale-up programme designed to empower innovators to unlock a better future. In its second edition, the 2025 edition focuses on how we produce, consume and regenerate across some of the UAE’s most vital sectors.
By participating in the Programme, Applicants accept and agree to comply with the following Terms and Conditions:
1. Definitions and Interpretation
1.1 The following capitalised terms have the following meanings, unless the contrary intention applies:
“AED” means UAE Dirhams.
“Applicant” means any Person that meets the Eligibility Criteria and who has submitted an Application in participation of the Programme.
“Application” means the Programme application registration and submission form found at https://innovate-for-tomorrow.dubaiholding.com/.
“BOLT” means BOLT Events Management L.L.C, acting as the execution partner for the Programme.
“Cash Prizes” has the meaning given to it in clause 7.1(a).
“Day” means a calendar day.
“Demo Day” has the meaning given to it in clause 5.1(d).
“DH Indemnitees” has the meaning given to it in clause 14.
“Dubai Holding Group” means Dubai Holding and its wholly owned subsidiaries.
“Dubai Holding” means Dubai Holding LLC, a limited liability company incorporated under the laws of the Emirate of Dubai, UAE and whose registered address is P.O. Box 66000, Dubai, UAE.
“Eligibility Criteria” has the meaning given to it in clause 3.1.
“Event of Force Majeure” means acts of God, government, proclamations, regulations, or appropriations, acts of terrorism, industrial disputes, acts of public enemies, blockades, embargoes, wars (whether declared or not), invasions, rebellions, revolutions, insurrections or riots, epidemics, landslides, fires, extreme storms or floods, explosions, or earthquakes.
“Finalist” has the meaning given to it in clause 5.1(e).
“First Place Prize” has the meaning given to it in clause 7.1(a).
“GST” means Gulf Standard Time.
“in5” means the start-up incubator part of TECOM Group PJSC’s portfolio, offering value added products and services, including co-working spaces (D/Quarters), freelance packages (GoFreelance) and integrated smart services platform (axs).
“Intellectual Property Rights” means (i) all forms of copyright and authors rights (including any and all rights that may be considered financial rights provided under UAE Federal Decree Law No. 38 of 2021), database rights, patents, designs, inventions, utility models, trade names, trademarks, service marks, rights in trade dress or get-up, goodwill, domain names, know-how, technical information, trade secret, rights to sue for passing off, unfair competition rights, moral rights and Confidential Information; (ii) applications and the right to apply for registration, renewals or extensions for any of these rights; and (iii) all other intellectual property rights or rights of a corresponding nature or similar forms of protection, whether registered or unregistered, existing anywhere in the world.
“Judging Panel” means, in relation to the Programme, one (1) or more authorised representatives nominated by Dubai Holding, in its sole discretion, with expertise in the fields of (but not limited to) sustainability, waste, finance, innovation, entrepreneurship and others, responsible for the subjective assessment of an Application, for the purposes of determining or informing the determination of the Winner and/or the Runner-up(s) and/or Prizes in the Programme.
“Law” and “Laws” means (a) legislation, decrees, rules, regulations, orders, by-laws and other subordinate legislation, of the Emirate of Dubai and of the UAE (where applicable in Dubai); (b) requirements, rules, laws and regulations of any Authority; and (c) guidelines of the Emirate of Dubai and of the UAE and of all relevant authorities, with which Applicants are legally required to comply.
“Loss” means any direct, indirect, special, incidental or consequential liabilities, damages, claims, losses, costs, expenses, actions, demands or suits, whether in contract, tort (including negligence), statute or otherwise and whether pecuniary or non-pecuniary, including, but not limited to, loss of profits, legal costs and defence or settlement costs.
“Non-cash Prizes” has the meaning given to it in clause 7.1(b).
“Organisers” has the meaning given to it in clause 3.2(f).
“Person” means an individual, a corporation, partnership, limited liability company, association, trust, or other legal entity or organisation, or a government body.
“Personal Data” means any information relating to an identified or identifiable person.
“Pilot Implementation” has the meaning given to it in clause 7.1(b).
“Privacy Policy” means the privacy policy set out at: https://dubaiholding.com/en/privacy-policy/.
“Prizes” means Cash Prizes and/or Non-cash Prizes.
“Programme Evaluation Committee” means, in relation to the Programme, one (1) or more authorised representatives of Dubai Holding, in5 and BOLT will be responsible, in whole or in part, for the initial review of Applications and/or Solutions, the selection of the Shortlisted Applicants and Finalists and the virtual interviewing of Shortlisted Applicants.
“Programme” means Dubai Holding's 'Innovate for Tomorrow' Impact Accelerator Programme in collaboration with in5 and BOLT, as further described in clause 2.1.
“Rules” means the Eligibility Criteria set out in these Terms and Conditions, or, otherwise, any set of provisions that establish specific conditions under which Applicants are bound that are posted on this Website either as a notice of an extension of these Terms and Conditions or in addition to these Terms and Conditions.
“Runner-up” means, in relation to the Programme, any one Finalist selected by the Judging Panel as a winner of the Second Place Prize and/or the Third Place Prize, subject to meeting the Selection Criteria.
“Second Place Prize” has the meaning given to it in clause 7.1(a).
“Selection Criteria” has the meaning given to it in clause 6.1.
“Shortlisted Applicants” has the meaning given to it in clause 5.1(d).
“Solution” has the meaning given to it in clause 2.1.
“Submission Deadline” has the meaning given to it in clause 4.1.
“Terms and Conditions” means these terms and conditions including the Rules, any amendments made hereto, policies (including, but not limited to the Privacy Policy) and any notices and/or disclaimers contained on this Website.
“Third Place Prize” has the meaning given to it in clause 7.1(a).
“UAE” means the United Arab Emirates.
“UN SDG 12” means the United Nations Sustainable Development Goal 12.
“VAT” means value added tax.
“Website” means any web page(s) contained within this domain: www.dubaiholding.com/en including, but not limited to the landing page, any sub-domains and all underlying software and infrastructure.
“Winner” means, in relation to the Programme, the Finalist selected by the Judging Panel as the winner of the First Place Prize, subject to meeting the Selection Criteria.
1.2 In these Terms and Conditions, unless the contrary applies:
- the singular includes the plural and vice versa;
- a reference to a Person includes a reference to the Person’s executors, administrators, successors, substitutes (including Persons taking by novation) and assigns;
- if a period is specified and dates from a given Day or the Day of an actual event, it is to be calculated exclusive of that Day;
- a reference to a clause or schedule is a reference to a clause or schedule in these Terms and Conditions; and
- the words “including” and “include” are a reference to “including, but not limited to”.
1.3 Headings are inserted for convenience only and do not affect the interpretation of these Terms and Conditions.
2. Programme Overview and Objective
2.1 The objective of the Programme is for Applicants to identify and scale pioneering solutions to key sustainability challenges in the UAE, with a focus on circular economy innovation. For the purposes of the Programme, such solutions shall relate to production, consumption and regeneration of resources in one or more of the sub-thematics mentioned in clause 2.2 (each, a “Solution”).
2.2 Within the theme of the circular economy, each Applicant’s Solution must align with one (1) or more of the sub-thematics identified by the Programme, as follows:
- Food Loss & Waste: reducing food waste through smarter use, sharing or upcycling, from surplus redistribution to community-driven composting and expiry-based pricing;
- Resource Recovery & Regeneration: innovative reuse of materials across various applications, such as construction, packaging and electronics, aiming to reduce dependency on virgin resources and extend product lifecycles; and/or
- Digital Innovation for Sustainability: digital innovations and smart technologies such as Artificial Intelligence (AI) and Internet of Things (IoT) that transform how we design, track, manage and recover resources throughout their lifecycles – from intelligent systems that prevent waste before it happens to automated networks that capture and redirect materials back into productive use.
3. Eligibility Criteria
3.1 Subject to clause 3.2, each Applicant must demonstrate that they:
- are a scale-up whose business activities are aligned with the sub-thematics of the Programme as set out in clause 2.2;
- have at least one (1) full-time founding member committed to engage on a full-time basis for the duration of the hybrid accelerator programme, including attendance at all training, mentorship, and related sessions scheduled during the twelve (12) week term (the “Accelerator Programme”);
- exhibit a “Founder Mindset”, including that they are:
- Purpose Driven: committed to addressing material challenges relating to sustainability, digital transformation, or the future of cities;
- Collaborative: prepared to engage in pilot initiatives with public and/or private stakeholders, including the entities within Dubai Holding Group;
- Coachable: willing to receive mentorship, iterative feedback and guidance in relation to long-term growth planning;
- Adaptable: capable of operating effectively in uncertain environments across diverse cultural or institutional contexts; and
- Scalable in Vision: demonstrating ambition supported by a credible and realistic roadmap to expand regionally and/or globally.
- satisfy at least one (1) of the following business requirements:
- possession of a functional prototype or a minimum viable product;
- evidence of early customer validation; or
- have secured early-stage funding, whether through bootstrapping, angel investment or early institutional capital, at a stage between pre-seed and pre-Series A (being the stage after initial concept development and prototyping but prior to the first significant institutional venture capital financing round (Series A)), and
- if incorporated outside the UAE, are committed to piloting or expanding their business operations within the UAE following the completion of the Programme
(together, the “Eligibility Criteria”).
3.2 Persons in the following categories are not eligible to participate in the Programme:
- idea-stage startups with no product, prototype, or demonstratable market feedback;
- startups that are already at scaling stage;
- startups that do not present an original idea;
- startups that do not have a team;
- employees of Dubai Holding, in5 and BOLT (including those of its and their respective affiliates), together with their immediate family members;
- vendors, suppliers, service providers, consultants, partners, and/or any other Persons directly involved with, or otherwise connected to, the organisation, administration, or execution of the Programme, including, but not limited to in5 and BOLT, together with their immediate family members (collectively, the “Organisers”),
for the purposes of this clause 3.2, “immediate family members” refers to the spouse, child, and sibling of the Person concerned.
3.3 Subject to the above, the Programme is open to Applicants globally.
3.4 Dubai Holding reserves the right, in its sole discretion, to determine eligibility and to disqualify any Applicant who fails to satisfy the Eligibility Criteria in respect of the Programme.
4. Applications
4.1 Applicants must submit their Applications via https://innovate-for-tomorrow.dubaiholding.com/ on or before 25 November 2025 at 5 PM (GST) or such other date and time as may be decided by Dubai Holding in its sole discretion (the “Submission Deadline”). The Submission Deadline will not be extended, unless decided otherwise by Dubai Holding in its sole discretion.
4.2 By submitting an Application, each Applicant represents and warrants that:
- the information provided at the time of the Application is true, accurate, complete, and up to date. Any misrepresentation of any fact or particulars may result in the disqualification of the Applicant from the Programme and/or, in the case of the Winner and/or a Runner-up, the forfeiture, withholding, withdrawal, or reclaiming of any Prize won;
- it has read, understood, and agrees to be bound by these Terms and Conditions; and
- it complies with the Eligibility Criteria.
4.3 Applications must:
- comply with the Application specifications set out at https://innovate-for-tomorrow.dubaiholding.com/;
- propose a Solution that is executable within a Dubai Holding business vertical as a pilot
- comply with all applicable Laws;
- be in the English language; and
- be accompanied by all supporting documents at the time of submission.
4.4 No more than one (1) Application may be submitted per Applicant, unless otherwise permitted by Dubai Holding at its sole discretion. If more than one (1) Application is submitted, Dubai Holding will consider the latest submission as the final submission at the Submission Deadline.
4.5 Applications submitted after the Submission Deadline or that do not comply with clause 4.3 will be disregarded.
4.6 Upon submission of an Application, Applicants will receive an on-screen confirmation of receipt generated by the Website. Applicants may also be notified of the successful receipt of their Application via e-mail within a reasonable period following submission.
4.7 An Applicant may withdraw their Application prior to the Submission Deadline by submitting a request to a Dubai Holding advisor via innovatefortomorrow@dubaiholding.com. For the avoidance of doubt, Applications cannot be modified after the Submission Deadline.
4.8 With the exception of the Shortlisted Applicants, Applicants will not receive feedback on their Applications.
4.9 Dubai Holding accepts no responsibility for any late, lost, or misdirected Applications arising from technical disruptions, network congestion, scheduled Website maintenance or an Event of Force Majeure.
4.10 Participation in the Programme is subject to Dubai Holding’s prior approval, and Dubai Holding has the sole and absolute discretion to accept or reject a Person’s participation in the Programme, including the submission of an Application, for any reason, and without prior notice to the Applicant.
4.11 Dubai Holding reserves the right to suspend or terminate the participation of any Applicant, if that Applicant appears (in the sole discretion of Dubai Holding) to be using the Programme in a manner inconsistent with these Terms and Conditions or intent of the Programme or any portion of the Programme, including, but not limited to, improper use of an Application. Dubai Holding also reserves the right to terminate the participation of any Applicant if there are reasonable grounds for suspecting (in the sole discretion of Dubai Holding) that the Applicant has:
- acted in a manner inconsistent with applicable Law;
- breached or violated any of these Terms and Conditions;
- engaged in any fraudulent or dishonest behaviour, theft, misconduct, or wrongdoing in connection with the Programme; or
- engaged in any abusive, fraudulent, disruptive, inappropriate, offensive, or hostile conduct, whether it be physical, verbal or written in nature, towards any Dubai Holding employee, other Applicants and/or any Organiser employee.
4.12 All mandatory information required for a Person’s participation in the Programme must be supplied accurately and in full. Dubai Holding may reject any request made by a Person to participate in the Programme if the required information is not supplied accurately and in full.
5. The Programme Evaluation Committee and The Judging Panel
5.1 Each Application shall be evaluated in accordance with the stages described below:
- Stage 1 – Eligibility Review and Scoring: BOLT, in consultation with the Programme Evaluation Committee, will review and score all Applications to confirm completeness, compliance with baseline quality standards, and alignment with the Selection Criteria. Applications that do not meet the requirements will be disregarded. Applicants progressing beyond Stage 1 shall be referred to hereinafter as “Selected Applicants”.
- Stage 2 – Pitch Deck Review (Selected Applicants): the Programme Evaluation Committee will conduct a structured review of Selected Applicants’ pitch decks, assessing clarity, traction, and proof-of-concept potential.
- Stage 3 – Founder Interviews (Selected Applicants): the Programme Evaluation Committee will conduct structured interviews with Selected Applicants to evaluate founder mindset, team capability and Dubai Holding business alignment.
- Stage 4 – Final Selection (Final Intake): following Stages 2 and 3, the Programme Evaluation Committee, in coordination with BOLT and Dubai Holding, will confirm the final intake of approximately fifteen (15) Applicants (the “Shortlisted Applicants”). The Shortlisted Applicants will be enrolled in the Accelerator Programme as detailed in clause 7. Subject to successful completion of the Accelerator Programme, the Shortlisted Applicants may be invited to participate in one or more Programme events, including without limitation the demonstration day event (the “Demo Day”).
- Stage 5 – Finalist Nomination for the Demo Day: upon completion of the Accelerator Programme, the Programme Evaluation Committee will nominate five (5) of the Shortlisted Applicants (the “Finalists”) to present their Solutions at the Demo Day. All Shortlisted Applicants may attend the Demo Day; however, only the Finalists will be required to pitch their Solutions to the Judging Panel at the Demo Day.
- Stage 6 – Winner and the Runner-ups Selection: at the Demo Day, the Finalists shall present their Solutions before the Judging Panel where the Judging Panel shall select and announce the Winner and Runner-Ups. Feedback may be provided to the Finalists by the Judging Panel during the Demo Day. For the avoidance of doubt, no feedback shall be provided to Applicants who are not selected as Finalists.
5.2 Finalists are required to personally attend the Demo Day, and virtual attendance will not be permitted. For the avoidance of doubt, virtual attendance may be made available for Shortlisted Applicants.
5.3 BOLT shall coordinate and arrange all travel and accommodation logistics on behalf of Dubai Holding, and the cost of such arrangements (the “Expenses”) shall be borne by BOLT. Expenses may include, without limitation, flights, accommodation, and visas, the nature, class, timing, and duration of which shall be determined exclusively by Dubai Holding and/or BOLT.
5.4 Except with respect to the Expenses, all other costs, charges, and expenses of whatsoever nature (including, without limitation, travel documentation, insurance, food and beverage incidentals and personal expenses) shall be the sole responsibility of the Finalists.
5.5 All decisions made by the Programme Evaluation Team, the Judging Panel, BOLT and/or Dubai Holding regarding the Programme, the selection of a Winner and/or Runner-ups, the Selection Criteria or any other matter shall be deemed final and binding. No appeals, verbal or written, shall be permitted.
5.6 Finalists will be required to provide proof of identification, in a form satisfactory to BOLT, prior to attending the Demo Day. Verification of identification shall be managed by BOLT on behalf of Dubai Holding. If a Finalist fails to provide sufficient proof of their identity upon request, Dubai Holding reserves the right, in its sole discretion, to refuse their participation in the Demo Day.
6. Selection Criteria
6.1 Each Applicant’s Solution will be assessed against the following selection criteria (together, the “Selection Criteria”):
- Problem Relevant & Impact Potential: Solutions must directly address a critical challenge with proven impact potential, backed by evidence such as market validation, stakeholder input, and measurable outcomes.
- Innovation & Differentiation: Solutions should demonstrate a clear competitive edge through novelty, emerging technology, or unique features that set them apart in the market.
- Scalability & UAE Market Fit: Solutions are expected to show strong potential for growth and expansion, with clear strategies and validation for entry and success in the UAE.
6.2 The Selection Criteria set out in clause 6.1 are intended to act as a guideline only. Dubai Holding, together with BOLT shall have full authority, in its and their sole and absolute discretion, to interpret, apply, amend, or depart from the Selection Criteria during the evaluation process. No Applicant shall have any right or claim against Dubai Holding or BOLT arising from the application, non-application, or interpretation of the Selection Criteria.
6.3 Submission and Verification
- Dubai Holding and/or BOLT may request additional information, clarifications, demonstrations, interviews, site visits, technical assessments, or third-party references at any time. Failure to comply may result in reduced scoring or disqualification of an Applicant;
- Dubai Holding reserves the right to conduct independent verification and due diligence (including contacting referenced stakeholders and reviewing public records) and to adjust scoring or disqualify any Applicant based on the outcomes of any such verification and due diligence;
- acceptance of any document or evidence by Dubai Holding or BOLT shall not constitute a waiver of any requirement; and
- collection and verification of required evidence shall be managed by BOLT on behalf of Dubai Holding, through channels and by deadlines notified to Applicants. Dubai Holding may, in its sole discretion, accept or reject late submissions.
7. The Prizes
7.1 The Prizes shall include cash prizes and non-cash prizes as set out in Table 1: Cash Prizes and Table 2: Non-cash Prizes below:
a. Table 1: Cash Prizes
(collectively, the “Cash Prizes”)
b. Table 2: Non-cash Prizes
(collectively, the “Non-cash Prizes”).
7.2 Participation in the Accelerator Programme
- Each Shortlisted Applicant selected to participate in the Accelerator Programme shall commit to attend and actively participate in all workshops, training sessions, mentorship meetings and related activities forming part of the Accelerator Programme. Each Finalist nominated to present at the Demo Day must commit to attend and participate fully in the Demo Day.
- A Shortlisted Applicant may withdraw from the Accelerator Programme, or a Finalist may withdraw from the Demo Day, by providing not less than one (1) month’s prior written notice to Dubai Holding.
- Dubai Holding may terminate a Shortlisted Applicant’s or Finalist’s participation in the Accelerator Programme or Demo Day with immediate effect by written notice where:
- the participant engages in acts of fraud, dishonesty or other misconduct;
- the participant fails to attend the workshops, training sessions or mentorship meetings comprising the Accelerator Programme without reasonable excuse, and such failure continues after having received three (3) written warnings; or
- the participant otherwise breaches these Terms and Conditions and fails to remedy such breach within seven (7) Days of written notice.
- On withdrawal or termination, the relevant Shortlisted Applicant or Finalist shall cease to be entitled to participate in the Accelerator Programme and/or any Programme event, and Dubai Holding shall have no further obligation to such participant.
7.3 For the avoidance of doubt, the total number of Prize recipients shall not exceed three (3), comprising one (1) Winner and two (2) Runner-ups. Non-cash Prizes shall be awarded in accordance with Table 2: Non-cash Prizes set out above.
7.4 The Winner and the Runner-ups will be announced on or around May 2026, or such date(s) as otherwise decided by Dubai Holding at its sole discretion.
7.5 The Winner and the Runner-ups will be announced at the Demo Day and shall be notified via electronic mail, which shall contain instructions on how to claim their Prize.
7.6 Any notices of communications given by Dubai Holding and/or BOLT will be deemed received or notified to the Winner and the Runner-ups:
- on the second Day following the date of posting if via the Winner’s and the Runner-ups last known address;
- on the date of the announcement; and/or
- on the date of broadcast if via electronic media such as by electronic mail, SMS, or WhatsApp.
7.7 In relation to Cash Prizes:
- Cash Prizes will be disbursed solely to the Winner and the Runner-ups through a method determined at the sole discretion of Dubai Holding;
- the Winner and the Runner-ups are responsible for bearing all exchange rate losses and costs of conversion;
- the Winner and the Runner-ups will be solely responsible for the payment of any applicable VAT, taxes, insurance, contributions, any other amount applicable, including, but not limited to reasonable expenses or costs related to the claiming of the Prize not expressly outlined in these Terms and Conditions. Dubai Holding disclaims any responsibility for any VAT, tax or other liabilities arising from a Prize granted, subject to applicable Law;
- the Winner and the Runner-ups must provide their full name as per their bank records, as well as other personal particulars reasonably requested by Dubai Holding for the purposes of identification verification and internal audit requirements; and
- issuance of a cheque and/or payment to the bank account provided by the Winner and the Runner-ups shall be deemed a good and valid discharge of Dubai Holding’s obligation to pay the Cash Prize to the Winner and the Runner-ups.
7.8 If the Winner and the Runner-ups are unable to participate in a Non-cash Prize for any reason beyond Dubai Holding’s reasonable control, the Winner and the Runner-ups acknowledge and agree that no compensation of any kind will be provided.
7.9 Dubai Holding reserves the right, at any time and at its sole discretion, to substitute, withdraw, and/or to alter any Prize offered to the Winner and/or the Runner-ups without prior notice to the Winner and/or the Runner-ups, as applicable.
7. 10 Prizes are non-transferrable and non-exchangeable. Non-cash Prizes cannot be exchanged or redeemed for cash or in-kind contributions.
7.11 Dubai Holding reserves the right to:
- substitute any Prize with a prize of a comparable, equal, or greater value if the Prize becomes unavailable for any reason; and/or
- award fewer than the above-stated number of Prizes if an insufficient number of recipients of the Prizes are available.
7.12 All Cash Prizes are valued and will be paid in AED.
7.13 If Winner and/or the Runner-ups cannot be contacted or fails to claim their Prize within five (5) Days, or within such period as otherwise communicated to the Winner and/or the Runner-ups in writing by Dubai Holding, the Winner and/or the Runner-ups shall forfeit their Prize and the Prize will be awarded to a substitute recipient, chosen at the sole discretion of Dubai Holding and/or the Judging Panel, subject to the Selection Criteria. If a substitute recipient cannot be contacted or fails to claim the Prize, Dubai Holding reserves the right to consider such Prize unclaimed.
7.14 Dubai Holding and/or BOLT shall have no obligation to notify any Applicants who are not selected as Shortlisted Applicants of the outcome of the Winner and/or Runner-Ups selection process. Shortlisted Applicants who are not nominated as Finalists for the Demo Day shall be notified of such outcome. The Finalists will be present at the Demo Day when the Winner and Runner-Ups are announced, and no separate notification shall be issued to any Finalist who is not selected as the Winner or a Runner-Ups.
7.15 By accepting a Prize, and where consent has been provided via the Website, the Shortlisted Applicants, Winner and the Runner-ups acknowledge that they have consented to allow Dubai Holding to:
- announce their full names and countries of residence in Dubai Holding’s marketing and promotional materials; and
- use any photographs and/or videos taken during the Programme, including at any of the Programme events for marketing and promotional purposes.
7.16 Subject to clause 7.15, and where a Shortlisted Applicant, Winner or Runner-Up has provided consent via the Website, such Applicant acknowledges and agrees that Dubai Holding may collect, use and publish their personal data (including, without limitation, name, country of residence, photographs and audio-visual recordings) for marketing and promotional purposes. An Applicant may withdraw this consent at any time by emailing innovatefortomorrow@dubaiholding.com.
7.17 Consent is voluntary and does not affect eligibility to participate in the Programme or to receive a Prize.
8. Intellectual Property Rights
8.1 Each Applicant and/or the Winner and/or the Runner-ups (as applicable) represents and warrants that no aspect of their Application, including but not limited to Solutions, blueprints, and/or prototypes, will infringe upon the Intellectual Property Rights of any member of the Dubai Holding Group, any of the Organisers or any third party.
8.2 Applicants and/or the Winner and/or the Runner-ups (as applicable) whose Applications are found to infringe upon the Intellectual Property Rights of any member of the Dubai Holding Group, any of the Organisers or any third party may be disqualified from the Programme at Dubai Holding’s sole discretion.
8.3 Subject to clause 8.4, any applicable Intellectual Property Rights to an Application will remain with the relevant Applicant and/or the Winner and/or the Runner-ups (as applicable).
8.4 By entering into the Programme, each Applicant and/or the Winner and/or the Runner-ups (as applicable) hereby grants to Dubai Holding and each of its affiliates, and any other third parties acting on behalf of Dubai Holding in connection with the Programme (including but not limited to the Organisers and the successors, licensees and assigns of each of the foregoing), a fully paid up, non-exclusive, assignable, sublicensable, worldwide, and perpetual license to publicly display and use, for promotional and marketing purposes, all information contained in an Application, including but not limited to Solutions, blueprints, and/or prototypes.
8.5 By submitting an Application, each Applicant and/or the Winner and/or the Runner-ups (as applicable) represent and warrant that it owns and/or has the appropriate rights and licenses to the content contained in their Application.
8.6 Each Shortlisted Applicant, Winner and Runner-up acknowledges and agrees that Dubai Holding may use the legal name of their company for marketing, publicity, and promotional purposes in connection with the Programme.
9. Publicity and Image Rights
Applicants and/or the Winner and/or the Runner-ups (as applicable) shall not, in any manner whatsoever, use the Intellectual Property Rights of any member of the Dubai Holding Group for any promotional, commercial, or other purposes without the prior written consent of Dubai Holding, to be provided at the sole discretion of Dubai Holding in each instance.
10. Termination
10.1 The Programme has no predetermined termination date and shall continue until such time as Dubai Holding decides to terminate the Programme, with or without notice.
10.2 Any Applicant may terminate their participation in the Programme. Participation in the Programme will be terminated immediately upon receipt of such notice by Dubai Holding.
11. Force Majeure
No party shall not be liable for any failure or delay in the performance of its obligations hereunder if such delay or failure or delay results from an Event of Force Majeure.
12. Cancellation and Modification
Dubai Holding reserves the right to suspend, delay, or cancel the Programme, to modify the Submission Deadline and any other deadlines set out in the Application and/or Website and to modify these Terms and Conditions for any reason at its sole discretion or as required by applicable Law.
13. Liability
13.1 Dubai Holding shall not be liable for any Loss suffered or incurred by an Applicant and/or the Winner and/or the Runner-ups (as applicable) arising from or in connection with the Programme, this includes any Loss incurred in connection with the cost of transportation, accommodation and visa application fees (including, but not limited to any Loss incurred arising from or in connection with the rejection of a visa application), travel to and attendance at the Demo Day in Dubai, UAE (as applicable). Dubai Holding will not be responsible or liable for (i) any failure to receive Applications due to transmission failures or other conditions beyond Dubai Holding’s reasonable control; (ii) any late, lost, misrouted, distorted or damaged transmissions; (iii) any disruptions, injuries, or Loss caused by an Event of Force Majeure; (iv) any postponement, delays or changes that may impact on the Submission Deadline, other deadlines as set out in the Application and/or the Website, the Programme or Prizes caused by an Event of Force Majeure; or (v) any printing or typographical errors in any material associated with the Programme.
13.2 For the avoidance of doubt, Finalists who are unable to attend the Demo Day, as the case may be, whether as a result of a visa application being rejected or otherwise will be disqualified from the Programme.
14. Indemnity
Applicants and/or the Winner and/or the Runner-ups (as applicable) agree to indemnify and hold Dubai Holding and its affiliates’ officers, directors, employees, consultants agents, and representatives (together, the “DH Indemnitees”) from and against any and all Loss that may occur, directly or indirectly, from or in relation to the Programme, including, without limitation, any infringement of the Intellectual Property Rights or moral rights of any third party with respect to Applications submitted pursuant to the Programme.
15. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the Laws of the Emirate of Dubai and the federal laws of the UAE as applicable to the Emirate of Dubai and the courts of the Emirate of Dubai shall have exclusive jurisdiction in relation to all matters arising out of or in any way connected with these Terms and Conditions or the Programme.
16. Assignment
Dubai Holding may transfer, assign, or novate the Programme and all items associated with the Programme, including but not limited to Prizes, in whole or in part at any time without notice to the Applicant and/or the Winner and/or the Runner-ups (as applicable). In the event of any such assignment or novation, all rights and/or obligations will pass to the party to which Dubai Holding assigns or novates and Dubai Holding shall not further exercise any rights and shall be released from all such obligations.
17. No Warranty
The Programme (including, but not limited to, Prizes) is provided to the extent permissible by any applicable Law without any warranties or guarantees, including implied warranties of satisfactory quality or fitness for a particular purpose. To the extent permissible by any applicable Law, Dubai Holding excludes all liability and responsibility for itself, the DH Indemnitees and the Organisers for Loss of whatever nature (including but not limited to loss of profits or anticipated savings, wasted expenditure or attorney's fees) arising from or in connection with a Person’s participation in the Programme, regardless of whether such Loss would arise in the ordinary course of events or otherwise, is reasonably foreseeable or otherwise, or is caused by any error or omission of Dubai Holding, the DH Indemnitees or the Organisers (whether negligent or not), except that nothing affects the liability of Dubai Holding, the DH Indemnitees and the Organisers for death or personal injury caused by their negligence or any other liability which may not be excluded or limited by applicable Law.
18. Severability
If any provision of these Terms and Conditions is deemed unlawful, void or for any other reason unenforceable, then that provision shall be deemed severed from the Terms and Conditions and shall not affect the validity and enforceability of any other provisions.
19. No Waiver
Dubai Holding's failure to exercise or enforce any rights or provisions of the Terms and Conditions will not constitute a waiver of such rights or provisions.
20. Miscellaneous
20.1 Dubai Holding reserves the right to amend, update change or delete any aspect of the Programme and/or these Terms and Conditions at any time, even if such changes may affect the value of the Cash Prizes and/or the contents of the Non-cash Prizes. It is the responsibility of the Applicants to remain aware of any such amendments, updates, or changes. Dubai Holding will publish the latest Terms and Conditions on the Website. 20.2 Dubai Holding accepts no responsibility or liability for the withdrawal of any Applicant from the Programme.
20.3 Dubai Holding will endeavour to advise Applicants of matters of interest, including notifying them of changes to the Programme. However, Dubai Holding accepts no liability for requests or correspondence lost or delayed in the postal system or via electronic mail.
20.4 The sale, transfer or barter of any Prize is prohibited.
20.5 All information (including, but not limited to, Personal Data) submitted by an Applicant to Dubai Holding in connection with the Programme will be treated in accordance with the Privacy Policy and may be made available to in5 and BOLT for the purposes of the administration of the Programme.
20.6 Participation in the Programme constitutes each Applicant’s full and unconditional agreement to these Terms and Conditions.
20.7 Nothing in these Terms and Conditions shall create a contractual relationship with, or cause of action in favour of, any third party. Any rights of any third party to enforce these Terms and Conditions under any applicable legal principle, statute or otherwise are excluded.
20.8 The language of the Terms and Conditions shall be English and any and all communications relating thereto (including but not limited to any complaints or disputes), shall be conducted in the English language.
20.9 Unless expressly provided herein, these Terms and Conditions are not intended to confer rights on any other third party, and no other third party shall have a right to enforce any provision of these Terms and Conditions.
20.10 These Terms and Conditions constitutes the entire agreement on this matter and supersedes all previous and contemporaneous agreements.
